Airtel-Tata Play Merger: Bharti Airtel in Talks to Merge DTH Business with Bharti Telemedia

Bharti Airtel has confirmed that it is in talks with the Tata Group regarding a potential merger of Tata Play direct-to-home (DTH) business with Bharti Telemedia Ltd, a subsidiary of Airtel. The discussions are at an early stage, with both parties exploring a structure that would be agreeable to all stakeholders.

Airtel-Tata Play Merger: What’s at Stake?

The potential merger would bring together Tata Play’s 20 million DTH connections under Airtel’s umbrella, strengthening its broadband, telecom, and DTH services into bundled subscription plans. If finalized, this would be one of the largest deals in the DTH industry since the 2016 merger of Videocon d2h and Dish TV.

According to reports, the deal is expected to be structured through a share swap, with Airtel likely holding a majority stake of 52-55%, while Tata Play’s shareholders, including Walt Disney, would own 45-48% of the combined entity.

Management and Ownership Structure

The new entity is expected to be led by Airtel senior management, though Tata Group has reportedly sought two board seats as part of the deal. The valuation of the merged operations is estimated to be around ₹7,000 crore.

Walt Disney, which owns a minority stake in Tata Play, is expected to retain its shareholding in the newly formed company.

Strategic Benefits for Airtel

  1. Stronger Market Position: The merger would enhance Airtel’s presence in the DTH sector by adding millions of new subscribers.
  2. Bundled Services: Airtel could offer integrated broadband, telecom, and DTH plans, increasing customer retention.
  3. Non-Mobile Revenue Growth: The merger would boost Airtel’s non-mobile revenues through business diversification.

Conclusion

While the discussions are still in progress, the Airtel-Tata Play merger could significantly reshape India’s DTH and broadband industry. If the deal is finalized, it would create a stronger competitor in the pay-TV market, offering consumers more bundled services and better value.
